The initial payment must be made prior to training. Kindly send the proof of payment to admin@autoestimate.co.za. Subsequent payments are due on the 5th of every month and will be collected by debit order. Invoices will be sent out by the 25th of each month.

If the debit order is not honoured, payment must be received by the 15th of the current month. If not, another debit order will run on the 20th, or you will be double debited on the next debit order run.

If the payment is still not honoured, certain functionality of AutoManage will be removed until full payment is received.

The initial staff training is included. You can request refresher courses and training for new staff members at a cost of R250.00 ex VAT per hour.

Prices are increased annually on the 1st of January by 5%. If the Consumer Price Index (CPI) increases by more than 7% during the previous 12 months, the price will be increased accordingly.

Should you decide at any time to discontinue with the system, please inform us in writing with one month's notice. We will then take you off the full function but give you access to all your data for a year.

Training commences two to four weeks prior to the system being implemented to replace the software you are currently using. Training will be provided via AnyDesk. After working through each module, the trainee will be allocated tasks to complete. These tasks will be evaluated by us, and upon mastery, the trainee can proceed to the next module.

To ensure a seamless transition to AutoManage, the following information will be required:

Add all outstanding customer invoices from your old system. This will ensure an accurate Debtors Age Analysis.

Import a full list of all your customers into AutoManage. This will help maintain continuity and streamline your customer management process.

Add all your technicians to the system. This will allow you to manage and assign jobs effectively.

Next Invoice, Credit Note, and Job Number

Enter the next sequence numbers for invoices, credit notes, and job numbers to ensure continuity and avoid duplication.

Include all your Cost of Sale and Sundry Suppliers. This information can be imported into AutoManage to keep your supplier records up-to-date.

You can import your current stock onto AutoManage. This can also be done via Stock Adjustments if necessary.

Add the opening balance of petty cash or your cashbook on the day you start using AutoManage. This will ensure your financial records are accurate from the outset.

All balance sheet account balances should be added when they are made available by your accountant. This will ensure your financial statements are complete and accurate. By preparing and providing the above information, you will facilitate a smooth and efficient transition to the AutoManage system, ensuring minimal disruption to your operations.

This Confidentiality Agreement ("Agreement") is entered into, between:

Business Management Application Provider - AutoEstimate Pty Ltd

1. Purpose

The purpose of this Agreement is to protect the confidential and proprietary information disclosed by the Client to the Provider during their business relationship.

2. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" includes all written, electronic, or oral information that the Client designates as confidential or that reasonably should be understood to be confidential, including, but not limited to, business plans, financial data, customer information, and trade secrets.

3. Obligations of the Provider

The Provider agrees to:

Maintain the confidentiality of the Confidential Information.

Use the Confidential Information solely for the purpose of providing services to the Client. Not disclose the Confidential Information to any third party without the Client's prior written consent, except as outlined in Clause 6.

4. Access for Maintenance and Support

The Client grants the Provider permission to access their profile and data for the sole purpose of addressing technical issues, fixing bugs, or performing necessary maintenance. This access will be used only as needed to ensure the proper functioning of the services provided and to maintain data integrity.

5. Exclusions from Confidential Information Confidential Information does not include information that:

Is or becomes publicly known through no wrongful act of the Provider.

Is received from a third party without breach of any obligation of confidentiality.

Is independently developed by the Provider without use of the Client's Confidential Information.

6. Return of Materials

Upon termination of this Agreement, the Provider shall return or destroy all materials containing Confidential Information provided by the Client.

7. Term

This Agreement shall commence on the date first written above and shall continue in effect until terminated by either party with thirty (30) days written notice.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of South Africa.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
